Welcome to Teslaunch GADS Kit. By accessing or using this Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

1. Definitions

• "Service" refers to the Teslaunch GADS Kit web application, including the web interface and API endpoints.
• "We", "Us", "Our" refers to Teslaunch, the operator of the Service.
• "You", "User" refers to any individual or entity that accesses or uses the Service.
• "Google Ads" refers to Google's online advertising platform.
• "Google Ads API" refers to the programming interface provided by Google for interacting with Google Ads.

2. Acceptance of Terms

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

The Service provides a web-based tool that allows users to create Google Ads Search campaigns programmatically through the Google Ads API. Specifically, the Service can:

• Create campaign budgets
• Create Search-type campaigns with configurable bidding strategies
• Create ad groups within campaigns
• Create Responsive Search Ads (RSA) with user-provided headlines and descriptions
• Add keywords to ad groups

All campaigns created through the Service are set to PAUSED status by default. The Service does not enable campaigns or start ad serving automatically.

4. Eligibility and Account Requirements

To use the Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction.
• Have a valid Google Ads account in good standing.
• Have an approved Google Ads API developer token with appropriate access level.
• Have OAuth 2.0 credentials authorized for the Google Ads API.
• Provide accurate and complete information when configuring campaigns.

5. User Responsibilities

You are solely responsible for:

• Campaign content: All ad copy, keywords, URLs, and campaign settings you enter must comply with Google Ads policies, applicable laws, and third-party rights.
• Account security: Maintaining the confidentiality of your Google Ads credentials and OAuth tokens.
• Budget management: Monitoring and controlling spending in your Google Ads account. The Service creates paused campaigns, but you are responsible for reviewing budgets before enabling campaigns.
• Compliance: Ensuring your use of the Service and Google Ads complies with all applicable laws, regulations, and Google's advertising policies.
• Review before enabling: Carefully reviewing all created campaigns in the Google Ads interface before changing their status from PAUSED to ENABLED.

6. Acceptable Use

You agree not to:

• Use the Service to create ads that violate Google Ads policies, including but not limited to misleading content, prohibited products, or trademark infringement.
• Use the Service to create campaigns for illegal, fraudulent, or deceptive purposes.
• Attempt to reverse engineer, decompile, or otherwise extract the Service's source code or credentials.
• Use the Service to spam, overload, or disrupt Google Ads API servers or the Service itself.
• Share or transfer your access credentials to unauthorized parties.
• Use the Service in a manner that could damage, disable, or impair the Service or Google Ads.

7. Google Ads API Compliance

The Service operates under the Google Ads API Terms of Service. You acknowledge that:

• Your use of Google Ads through the Service is also governed by the Google Ads Terms and Conditions.
• The Service's developer token access level may limit the number of API calls or features available.
• Google may modify or discontinue API features, which may affect the Service's functionality.
• The Service does not guarantee that campaigns created through the API will be approved by Google's ad review process.

8. Intellectual Property

The Service, including its design, code, and content (excluding user-provided campaign data), is the property of Teslaunch and is protected by applicable intellectual property laws. You retain full ownership of all campaign data, ad copy, and keywords you submit through the Service.

9. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding:

• The accuracy, reliability, or completeness of campaign creation results.
• The performance or availability of the Google Ads API.
• Whether campaigns created through the Service will achieve desired advertising results.
• That the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, Teslaunch shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of advertising spend or budget due to campaign configuration errors.
• Google Ads account suspension or termination.
• Ad disapprovals or policy violations.
• Service downtime or API errors.
• Any unauthorized access to your Google Ads account.

You are solely responsible for reviewing and verifying all campaign settings before enabling them.

11. Indemnification

You agree to indemnify and hold harmless Teslaunch from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights through the campaigns you create.

12. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuance of the Service.

13. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Termination

You may stop using the Service at any time. We may terminate or restrict access to the Service if you violate these Terms or if required by Google Ads API policies. Upon termination, all provisions which by their nature should survive shall remain in effect.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.
